By accessing and using https://www.BPRO.net (the “Website”), the visitor or user of the Website (“User”) accepts and agrees to be bound by and comply with these Terms of Use (“Terms”) and the Privacy Policy available on the Website.
By using the Website, the User represents that they have read and understood these Terms, have capacity to be bound by them, have authority to bind any company or person they represent, and will not violate any rights of BPRO SOFTECH PRIVATE LIMITED (“BPRO”) or its affiliates, including intellectual-property rights.
2. General terms
The information, material and content provided on the Website (“Information”) may be changed at any time without notice. Although the Information is believed reliable when posted, BPRO does not warrant that it is accurate, complete or current and disclaims liability for errors or omissions.

BPRO may modify these Terms, suspend the Website for maintenance or other reasons, and operates and maintains the Website from India. Users accessing the Website outside India are responsible for compliance with applicable local, national and international laws.
The User shall not reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell Information or intellectual property obtained from the Website. Limited copying may be permitted unless prohibited by BPRO; unlimited or wholesale reproduction and unwarranted modification are strictly prohibited. 3. Intellectual properties
The Website content and all copyrights, patents, trademarks, service marks, trade names and other intellectual-property rights therein are owned by BPRO or its licensors and protected by applicable Indian intellectual-property law. The User has no rights in the Website content except as expressly authorised by BPRO.
Content including information, sound, photographs, graphics, video and other material may be protected by intellectual-property rights. The User shall not copy, transmit, create derivative works from, upload, post, reproduce, distribute or modify such content without permission from BPRO or the applicable rights owner. 4. No warranties
BPRO and its affiliates, employees, agents and authorised representatives provide the Website and Information on an “as is” and “where is” basis, without express or implied warranties, representations, endorsements or conditions, including warranties of non-infringement, usefulness, completeness, accuracy, reliability or fitness for a particular purpose.
BPRO does not warrant that the Website will meet the User’s requirements, be uninterrupted or error-free, preserve transmitted information, be free of viruses or avoid damage to the User’s computer system. The User is solely responsible for protecting and backing up data and equipment and for scanning for viruses or other destructive properties.

6. Relationship
Nothing in these Terms, the User’s right to use the Website or any Website content creates a partnership between the User and BPRO. Neither party has authority to bind or act as agent for the other.
7. Termination
BPRO may, with or without reason and without prior notice, immediately terminate or suspend the User’s access to the Website, including for breach of these Terms, a request by law enforcement or government agencies, or unexpected technical issues. Termination is at BPRO’s sole discretion and BPRO is not liable to the User or any third party for it.
8. Governing law and jurisdiction
These Terms are governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law provisions. Any dispute between BPRO and the User or any third party relating to these Terms, the Website or Information shall be submitted to the courts located in Kolkata, India. BPRO reserves all remedies available at law and in equity for violations of these Terms.
